We allow access to our site on a temporary basis and we reserve the right to withdraw, restrict or change our site at any time and without notice. We will not be liable if for any reason our site is unavailable at any time or if the content is changed or out of date.
You must treat as confidential any user identification code, password or other security feature in relation to our site. If, in our opinion, you aren’t complying with these terms of use, we have the right to disable any such code, password or feature at any time.
It is your responsibility that anyone who accesses our site through your internet connection is aware of these terms and complies with them.

By failing to comply with this provision, you would commit a criminal offence and your right to use our site will cease immediately and we will report your actions to the relevant authorities.
OUR LIABILITY
The material displayed on our site is provided without any guarantees, conditions or warranties as to its accuracy. To the extent permitted by law, we hereby expressly exclude:
· All conditions, warranties and other terms which might otherwise be implied by statute, common law or the law of equity.
· Any liability for any direct, indirect or consequential loss or damage incurred by any user in connection with our site or in connection with the use, inability to use, or results of the use of our site, any websites linked to it and any materials posted on it (whether by us or a third party), including, without limitation any liability for:
o loss of income or revenue;
o loss of business;
o loss of profits or contracts;
o loss of anticipated savings;
o loss of data;
o loss of goodwill;
o wasted management or office time; and
for any other loss or damage of any kind, however arising and whether caused by tort (including negligence), breach of contract or otherwise, even if foreseeable.
This does not affect any liability which cannot be excluded or limited under applicable law.
JURISDICTION AND APPLICABLE LAW
The English courts will have exclusive jurisdiction over any claim arising from, or related to, a visit to our site.
These terms of use and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales. For the purposes of these terms and conditions the terms ‘we’ and ‘us’ refer to PronounceMe.
Registration and Payment:
1.1 Full payment for the course must be made prior to starting the course, unless a payment plan has been agreed. All monies fall due by 24 hours before the course is due to commence.
1.1.1 Registration is on an individual basis. Any participants attempting to join as a group (with more than one participant per Zoom account) will be asked to leave the course without a refund. Group courses are arranged either by agreement with the student’s parent company or by individual agreement.
1.2. All costs incurred due to measures taken to recover unpaid fees will be paid by the client.
1.3. Should any monies be outstanding then we reserve the right to discontinue that student’s studies and charge interest at 7.5% over and above the current base rate as held by Barclays Bank.
1.4. The course fees do not include costs that are incurred on your behalf such as examination fees. Coursebooks are not included in the course fees. However, you will not need to buy a coursebook as they are not usually required for online courses.
1.5 Payments are made through a secure payment system either by bank transfer, credit card payment or Paypal.
1.6 Any shortfall in monies paid due to bank fees, transfer fees or related to exchange rate fluctuations must be made up in full by the client.
2. Refunds
2. We have a money-back guarantee. A refund will be issued before if we receive an email before 8.59am GMT on Day 2 of the course. No other refunds are possible.
3. Flexibility
3.1. We reserve the right to change teachers, times of lessons and on-line platforms and to combine classes if:
3.1.1. Numbers for any class are low, whatever the reason.
3.1.2. We have technical issues or find more suitable learning tools.
3.1.3. A teacher is sick.
3.4 You cannot reduce weekly study hours or change course. Any classes missed on a group course cannot be recovered, although there may be a recording available.
3.5. If a student is absent, 24 hours notice must be given to reschedule a personal lesson, otherwise those lessons cannot be recovered.
3.6. Once you have started your course, the course cannot be stopped or postponed.
4. Studies
4.1 While we provide high-quality training, your progress is your responsibility. Pronunciation skills can be developed only through regular practice. PronounceMe accepts no responsibility for the students’ results and will not be held liable for any failure.
4.2 We will attempt to work around your needs as students. However, our programmes are designed for a reason - to build skills sequentially. Respect the process and do not attempt to short-circuit the lesson sequence. Our decision on lesson content is final.
5. Rules
5.1. We reserve the right to terminate your enrolment in the event of conduct or behaviour which in our opinion diminishes (or may diminish) our reputation even if such conduct is not in breach of these terms and conditions. Our decision is final.
5.2. You must contact us if you are unable to attend your class. Please refer to the website for contact details.
5.3. If you connect more than 20 minutes late for a class, then you may not permitted to join the class.
5.4. The intellectual property pertaining to our course handouts and other teaching materials is owned by us and you cannot copy or reproduce the materials for commercial benefit. You also are not allowed to access illegally copied and stored versions of any published material and to do so may put in jeopardy your place on the course.

6. Access and Interference
6.1 The following equipment is strongly recommended for you to maximize your experience as a student with PronounceMe:

6.2 You agree that you will not:
6.2.1. Use any robot, spider, scraper, deep link or other similar automated data gathering or extraction tools, program, algorithm or methodology to access, acquire, record, copy or monitor the lessons without our express written consent, which may be withheld in our sole discretion.
6.2.2. Post or transmit any file which contains viruses, worms, Trojan horses or any other contaminating or destructive features, or that otherwise interfere with the proper working of our on-line courses.
6.3. PronounceMe is not responsible for any documents shared during the lesson that may contain bugs or viruses. You are responsible for configuring your information technology and using your own virus protection software.

8. Liability
8.1. Save for death or personal injury caused by our negligence we exclude to the extent permitted by law all conditions, warranties and other terms which might be implied by statute, common law or equity any liability for any direct, indirect or consequential loss or damage of any kind, howsoever arising and whether caused by tort (including our negligence), breach of contract or otherwise even if such loss is foreseeable.
8.2. The provisions of clause 8.1 do not extend to any liability to students arising out of any fraudulent misrepresentation made by us or our employees or agents.
8.3. Subject to the provisions of clause 8.1 all activity undertaken by a student is strictly at the student’s own risk and we take no responsibility. This includes any activities where our employee is present as a guide or facilitator.
8.4. We shall take all responsible steps to fulfil student expectations regarding the course, but we do reserve the right to alter services to at least an equivalent standard at no additional cost.
8.5. While we take all reasonable steps to ensure the information contained in our marketing and website is accurate, we reserve the right to alter this, substitute or withdraw any amenity without further notice.
8.6 Should any of the following events occur then we will not be liable to provide further services: strikes, industrial action, fire, civil unrest, legal action, withdrawal or regulatory consents, lockout or interruption or failure of electricity, and acts of God (including flood, earthquake, storm, hurricane, infectious diseases or pandemics or other natural disasters that are beyond the reasonable control of the parties).
8.7 Our teachers will be held directly liable should the tone or content of their communications with you be deemed offensive in any way. We hold no responsibility for this, although we will be sure to investigate and discipline the offender if necessary, including, but not limited to, suspending or terminating their contract with PronounceMe or reporting their conduct to the relevant government authorities.
9. General
9.1. These terms of business are written in accordance with the laws of England and the parties submit to the exclusive jurisdiction of the English courts.
9.2. The Contracts (Rights of Third Parties Act) 1999 is excluded.
9.3. No variation to these terms will be binding unless the variation is recorded in writing and signed by us and the student.
9.4. These terms of business represent the entire agreement reached by the parties and excluding any fraudulent misrepresentation, no other statement, whether oral or in writing, will be regarded as a contractual term of these terms of business.
9.5 Photography – Sometimes we may record the lesson for promotional purposes. Please advise us at the time of booking if you do not wish to appear in any promotional activity.
